Water woes (Financial Times) The world will experience an “increasingly erratic” water cycle as climate change drives new patterns of both extreme flooding and drought across the globe, the World Meteorological Organization has forecast. The agency said hydrological cycles were “spinning out of balance” and that more robust monitoring systems were needed, particularly in Africa, the Middle East and Asia, as it released a report on global water patterns in 2022. Droughts, extreme rainfall and melting snow and glaciers threatened long-term water security, the WMO said.
California Gov. Gavin Newsom signs bill expanding conservatorship law (AP) More Californians with untreated mental illness and addiction issues could be detained against their will and forced into treatment under a new law signed by Gov. Gavin Newsom, a move to help overhaul the state’s mental health system and address its growing homelessness crisis. The new law, which reforms the state’s conservatorship system, expands the definition of “gravely disabled” to include people who are unable to provide themselves basic needs such as food and shelter due to an untreated mental illness or unhealthy drugs and alcohol use. Local governments say current state laws leave their hands tied if a person refuses to receive help. The bill was aimed in part at dealing with the state’s homelessness crisis. California is home to more than 171,000 homeless people—about 30% of the nation’s homeless population.
The Californization of the Texas Housing Market (WSJ) Texas has long had a reputation as an affordable place to live, in large part because homeownership stayed within reach for the middle class. Argentina wildfires create apocalyptic scene of blazes at city’s edge (Washington Post) Fires that surrounded populated parts of Argentina, creating apocalyptic scenes that triggered international concern on social media, were largely brought under control Wednesday, authorities said. But the country remained under “extreme” fire danger amid dry and windy conditions. Firefighters were battling as many as six wildfires in the Córdoba province of central Argentina, where dozens of people were evacuated, according to the Associated Press. Images and video posted to social media showed flames and black smoke approaching urban areas outside Villa Carlos Paz, a resort city west of the city of Córdoba.
Never start vaping, says 12-year-old girl with lung damage (BBC) A 12-year-old girl who suffered a lung collapse and spent four days in an induced coma has told the BBC that children should never start vaping. Sarah Griffin had asthma and was a heavy vaper when she was rushed to hospital with breathing problems a month ago. Her mum Mary told the BBC she feared she was going to lose her daughter. The UK government has announced plans to restrict the marketing and sale of vapes targeted at children. Recent figures suggest that one in five children aged 11-17 have now tried vaping—three times as many as in 2020.

As Turkey intensifies war on Kurdish militants in Iraq, civilians are suffering (Reuters) Seventeen-year-old Samir Saado was finishing his cleaning shift at the village medical center when an airstrike hit the building. “I didn’t see anything other than dust and smoke,” said Saado, a member of Iraq’s minority Yazidi community. “My leg was stuck under the rubble. I called for help and people were coming but the planes kept striking.” At least four civilians were killed that day, local officials said. The strike was part of escalating attacks by Turkish aircraft and drones in mainly Kurdish areas of Iraq and Syria, which have continued.
CIA publicly acknowledges 1953 coup it backed in Iran was undemocratic as it revisits ‘Argo’ rescue (AP) While revealing new details about one of the most famed CIA operations of all times—the spiriting out of six American diplomats who escaped the 1979 U.S. Embassy seizure in Iran—the intelligence agency for the first time has acknowledged something else as well. The CIA now officially describes the 1953 coup it backed in Iran that overthrew its prime minister and cemented the rule of Shah Mohammad Reza Pahlavi as undemocratic. Other American officials have made similar remarks in the past, but the CIA’s acknowledgment in a podcast about the agency’s history comes as much of its official history of the coup remains classified 70 years after the putsch. In Iran’s telling, a straight line leads from the coup to the 1979 Islamic Revolution that ultimately toppled the fatally ill shah. It still fuels the anti-Americanism that colors decisions made by the theocracy. The coup also led the CIA into a series of further coups in other countries, including Guatemala, where American clandestine action in 1954 installed a military dictator and sparked a 40-year civil war that likely killed some 245,000 people.
The Retired Israeli General Who Grabbed His Pistol and Took On Hamas (NYT) Israel Ziv, a retired Israeli Army general, was taking a bike ride Saturday morning when a flood of alarming calls started coming in. A huge barrage of rockets had been fired from Gaza. Gunmen from Hamas, the armed Palestinian group that controls the territory, were pouring across the border. Soon he would learn a friend’s son was trapped in a kibbutz. He raced home, put on his uniform and grabbed his weapon, a nine-millimeter pistol. Within minutes he was flying down a deserted highway in his new white Audi. As he neared the Gaza border, columns of black smoke rose in front of him, and the Israeli Army, at least at first, was nowhere to be seen. Hamas attackers were running across the landscape, hunched under the weight of heavy machine guns and rocket propelled grenade launchers, shooting at him. Mr. Ziv, stocky, spiky-haired, a bit irascible, and the former head of the operations directorate of the Israel Defense Forces, is a well-known figure in Israel, especially now. His actions over the weekend—driving headlong into the battle zone armed only with a pistol, organizing a confused group of soldiers into a fighting unit and overseeing evacuations—have been widely publicized on Israeli news channels. In the process he has become an avatar of Israel’s D.I.Y. spirit—and of the failure of its military and intelligence agencies. So weakened is public faith in the country’s military that one of the biggest issues Israelis are talking about is arming themselves. Many already own weapons, but the government announced this week that it was purchasing 10,000 assault rifles for civilians, along with bulletproof vests.
Complete siege (Washington Post/BBC) Defense officials have ordered a “complete siege” of Gaza after militants broke through its border wall into southern Israel on Saturday and killed more than 1,000 people, many of them civilians—the deadliest day in Israeli history. “No power, no food, no gas,” Defense Minister Yoav Gallant said. “We are fighting human animals, and we act accordingly.” The Gaza Strip, a 140-square-mile stretch of land with more than 2 million people, depends on Israel for most of its electricity and other basic services. Cutting off gas and power from the territory could leave many residents not only without power, but without clean drinking water, proper sanitation and health care. On Wednesday, Palestinian authorities said Gaza’s only power plant has run out of fuel and stopped operating. “Within a matter of days Gaza will be in a blackout,” said Miriam Marmur, public advocacy director at Gisha, an Israeli nonprofit organization. Even before this escalation, residents in Gaza spent almost half the day, on average, without power. Israel says the siege of Gaza will not end until Israeli hostages, which are thought to number at least 150, are released by Hamas.
Israel calls for civilians to leave Gaza City as 'significant operation' looms (Reuters) Israel's military on Friday called for all civilians of Gaza City, more than 1 million people, to relocate south within 24 hours, as it amassed tanks nearby ahead of an expected ground invasion after a devastating attack by the militant group Hamas. "Now is a time for war," Defence Minister Yoav Gallant said on Thursday as Israeli warplanes continued pounding Gaza. The Israeli military said it would operate "significantly" in Gaza City in the coming days and civilians should only return when advised. More than 1,500 Palestinians have already been killed in retaliatory attacks.
Life on the other front (BBC) Tensions on Israel's northern frontier have soared since Hamas' bloody incursion in the south. Israel says it has reinforced its northern area with thousands of extra units after trading fire with Hezbollah in Lebanon. Correspondent Anna Foster wrote: In these northern Israeli border communities, people are nervous. They can see the high grey concrete wall that separates them from Lebanon, with Hezbollah observation posts towering up at regular intervals on the other side. One man shows me a video on his mobile phone of armed men firing on the very hillside we’re standing looking at. The sound of gunfire echoes loudly. These were Palestinian Islamic Jihad infiltrators who made their way over the barrier on Monday and killed Israeli soldiers. Families who live here are being told to stay as close to bomb shelters as they can.
Human Cells Display a Mathematical Pattern That Repeats in Nature (Smithsonian) In an effort that began more than ten years ago, scientists have estimated just how many cells make up the human body: Using data from more than 1,500 published sources, researchers determined that men are composed of about 36 trillion cells, women have some 28 trillion cells, and a 10-year-old child has roughly 17 trillion cells. What’s more, these cells follow a mathematical pattern based on size and mass that appears elsewhere in nature. The new data revealed that if a human’s cells of similar sizes are grouped together, each group contributes about the same total amount of mass to the body. Similar size distributions can be seen across scientific fields. In ecology, for example, marine organisms from bacteria to whales display the same pattern. This wide-ranging pattern suggests there may be “some deep underlying mechanism that could be common to all these different things,” lead author Ian Hatton, a biologist with the Max Planck Institute for Mathematics in the Sciences in Germany and at McGill University, tells Science News.

CEREBRUM - Review
DISTRIBUTOR: Glasshouse Distribution.
SYNOPSIS: In order for Tom to make ends meet he returns to his childhood home in Texas and signs on as a test subject at his father’s, Kirk, home-based lab. Along with his father’s assistant Bhuvanesh, Kirk is attempting to finalize a technology that will allow him to backup the human brain. When Tom commits a crime he cannot remember, he risks his own sanity to reveal the truth and finish what his father began with the help of his childhood friend Chloe.
REVIEW: It’s interesting how as technology has developed the future of brain research and the journey into the human mind has impacted science fiction. In 1983’s “Brainstorm” there was a tap device that could record the human brain and be used by another person to experience the playback. In the 1990 adaptation of the Philip K. Dick shorty story “We Can Remember It For You Wholesale” into “Total Recall” there is a massive computer device that can alter and implant memories to reshape an individual’s grasp of their reality. Brandon Cronenberg’s (yes, David’s son) 2020 film “Possessor” deals with a secret government agency that has the ability to use brain-implant technology to inhabit other people's bodies in order to achieve their objectives undetected. Many of these films rely on flashy production designs and visually impressive looking futuristic technology to tell their stories.
Arvi Ragu’s CEREBRUM features some interesting looking technology that is grounded in a design that feels like the not so distant future. When you consider all the great American inventors, many of whom looked like, or they did indeed, work out of their homes or garages, such as Edison or the Hewlett-Packard (HP) company. Tom’s father Kirk is working out of his garage with a technology that interfaces with skin contact, much in the same way many devices we use today have apps that keep track of many of our health stats. The data that his technology collects is stored on these small discs that are put into a device that can be worn on the wrist. That information can then transform the wearer into the person whose data it is, but for a limited time. The whole research and implementation foundation he lays out seems practical and allows the view to go along for the ride.
Ragu works with a talented cast to tell his sci-fi thriller. Veteran actor James Russo adds this edge and gruffness to a character that we rarely see. Also, he’s not a “mad scientist,” but he is driven by the tragedy of what happened to his wife, Tom’s mother, to develop this technology. Most of all, he comes across as the “every man,” with a lack of perfection when it comes to his relationships and his shortcomings. Christian James plays his son Tom. There are some great scenes with him and Russo, as well as those with his co-star Alexxis Lemire. The chemistry sells the drama and adds to the tension and mystery of the tale.
In terms of the cinematography, costume designs, and other production designs, Ragu takes it in a different direction from what we normally expect from this type of story. By setting it in Texas, the film has a lot of browns, deep reds, and burnt orange to overlook that makes it feel more like a western then a sci-fi film. In the overall context of the narrative it works and makes for an engaging view.
The film’s climax makes these big leaps in what could easily have become a shell game or three card monte trick. I was afraid that it might become a bit confusing but Ragu does an amazing job of keeping it on point and delivers a clean and satisfying resolution. Given the circumstances the viewer early on knows that Tom is innocent for a variety of reasons, but the mystery of who actually did it keeps the viewer engaged.
CEREBRUM is the feature film directorial debut of Arvi Ragu. He delivers a soldi sci-fi thriller with an impressive narrative and some breathtaking and unexpected visuals. He does an excellent job of using the sci-fi elements to lay the foundations for the thriller aspect of the story, and successfully weaves in these character elements that we’d find in a solid drama about family and personal relationships. It’s an extremely satisfying view that probably looks even more amazing on a big screen. There are a couple of imperfections in the film, but they fail to detract from the overall quality of the film and my enthusiasm to experience Ragu’s next film.

Per the memorandum, Barr has “directed the Department [of Justice] and the FBI to lead an effort to refine our ability to identify, assess and engage potential mass shooters before they strike.” The Attorney General further described the coming initiative, slated to be implemented early next year, as “an efficient, effective and programmatic strategy to disrupt individuals who are mobilizing towards violence, by all lawful means.” More specific information about the program is set to follow the recent memorandum, according to Barr, though it is unclear if that forthcoming document will be made public.
Barr also requested that those who received the memorandum send their “best and brightest” to a training conference at FBI headquarters this coming December where the DOJ, FBI and “private sector partners” will prepare for the full implementation of the new policy and will also be able to provide “new ideas” for inclusion in the program.
Perhaps the most jarring aspect of the memorandum is Barr’s frank admission that many of the “early engagement” tactics that the new program would utilize were “born of the posture we adopted with respect to terrorist threats.” In other words, the foundation for many of the policies utilized following the post-9/11 “war on terror” are also the foundation for the “early engagement” tactics that Barr seeks to use to identify potential criminals as part of this new policy. Though those “war on terror” policies have largely targeted individuals abroad, Barr’s memorandum makes it clear that some of those same controversial tactics will soon be used domestically.
Barr’s memorandum also alludes to current practices by the FBI and DOJ that will shape the new plan. Though more specifics of the new policy will be provided in the forthcoming notice, Barr notes that “newly developed tactics” used by the Joint Terrorist Task Forces “include the use of clinical psychologists, threat assessment professionals, intervention teams and community groups” to detect risk and suggests that the new “early engagement program” will work along similar lines. Barr also alludes to this “community” approach in a separate instance, when he writes that “when the public ‘says something’ to alert us to a potential threat, we must do something.”
However, the memorandum differentiates suspected terrorists from the individuals this new program is set to pursue. Barr states that, unlike many historical terrorism cases, “many of today’s public safety threats appear abruptly and with sometimes only ambiguous indications of intent” and that many of these individuals “exhibit symptoms of mental illness and/or have substance abuse problems.”
Thus, the goal of the program is ostensibly to circumvent these issues by finding new and likely controversial ways to determine intent. As will be shown later in this report, Barr’s recent actions suggest that the way this will be accomplished is through increased mass surveillance of everyday Americans and the use of algorithms to analyze that bulk data for vaguely defined symptoms of “mental illness.”
Barr also suggested the likely courses of action that would follow the identification of a given individual as a “potential mass shooter.” The Attorney General notes that in past cases individuals deemed a violent or terroristic threat before they commit a crime are subject to “detention, court-ordered mental health treatment, substance abuse counseling, electronic monitoring”, among other measures. Ostensibly, the new program would then apply these same practices to individuals in the U.S. that federal authorities believe are “mobilizing towards violence,” as Barr put it.
Bill Barr’s been busy
The memorandum, despite heralding a new era of Orwellian surveillance and “pre-crime” on a national level, has been sparsely covered by the mainstream media. One of the few reports that did cover the new Justice Department policy, published Wednesday by the Huffington Post, framed the new Barr-led initiative as largely positive and asserted that the “anti-terror tactics” to which Barr alluded could “help thwart mass shooters.” No mention was made in the piece of the threat such a program is likely to pose to civil liberties.
Furthermore, no mention was made of Barr’s clear push over the past few months to lay the groundwork for this recently announced program. Indeed, since becoming Attorney General under President Trump, Barr has spearheaded numerous efforts to this end, including pushing for a government backdoor into consumer apps or devices that utilize encryption and for a dramatic increase of long-standing yet controversial warrantless electronic surveillance programs.
On July 23rd, Barr gave the keynote address at the 2019 International Conference on Cyber Security (ICCS) and mainly focused on the need for consumer electronic products and applications that use encryption to offer a “backdoor” for the government, specifically law enforcement, in order to obtain access to encrypted communications as a matter of public safety.
Barr went onto say that “warrant-proof encryption is also seriously impairing our ability to monitor and combat domestic and foreign terrorists.” Barr stated that “smaller terrorist groups and ‘lone wolf’ actors” — such as those involved in the series of mass shootings in California, Texas and Ohio that occurred in the weeks after his speech — “have turned increasingly to encryption.” Barr later noted that he was specifically referencing encryption used by “consumer products and services such as messaging, smartphones, email, and voice and data applications.”
To overcome the resistance by some private companies — who do not want to renege on their right to privacy by giving the government backdoor access to their devices — and American consumers, Barr tellingly anticipated “a major incident may occur at any time that will galvanize public opinion on these issues.” Shortly after this speech, several mass shootings, including one at an El Paso Walmart took place, which again brought the issue to the forefront of political discourse.
As MintPress reported at the time, Barr’s uncanny prediction and a litany of other oddities related to the El Paso shooting left many answered questions about the FBI’s foreknowledge of the event. In addition, the tragedy did appear to serve as the very “galvanizing” event that Barr had anticipated, as the solution offered by President Trump in the wake of the shootings was the creation of a government backdoor into encryption as well as calling for the very pre-crime system Barr formally announced just last week.
The pre-crime dragnet takes shape
More recently, Barr and U.K. Home Secretary Priti Patel signed a data access agreement on October 3rd that allows both countries to demand electronic data on consumers from tech companies based in the other country without legal restrictions. It is the first executive agreement reached as part of the controversial Clarifying Overseas Use of Data Act or CLOUD Act passed by the U.S. Congress last year.
The CLOUD Act has come under fire from rights groups who have warned that the legislation gives “unlimited jurisdiction to U.S. law enforcement over any data controlled by a service provider, regardless of where the data is stored and who created it” and that this also “applies to content, metadata, and subscriber information”, including private messages.
Yet, Barr and Patel claimed that the data access agreement will instead “enhance” civil liberties and further asserted that the agreement would be used to go after “pedophiles” and “organized crime”, even though both Barr and his U.K. equivalent have shown minimal interest in pursuing the co-conspirators of child sex trafficker and pedophile Jeffrey Epstein, whose sex trafficking network has been linked to both organized crime and the intelligence agencies of both the U.S. and Israel. Some have charged that the lack of interest on the part of William Barr is due to the fact that Barr’s father once hired the now deceased pedophile.
Notably, Jeffrey Epstein also had an apparent interest in pre-crime technologies, and was a key funder of the controversial technology company Carbyne911, along with former Israeli Prime Minister and close Epstein associate Ehud Barak. Carbyne911 is one of several Israeli companies that market their software products to the U.S. as a means of reducing mass shootings and improving the response times of emergency service providers. These companies boast numerous and troubling connections to the governments and intelligence communities of both the U.S. and Israel. Epstein, himself linked to the intelligence apparatuses of both nations, invested at least $1 million in Carbyne911 through a “data mining” company he controlled.
As was detailed in a recent MintPress exposé on these companies, Carbyne911 and similar companies extract any and all data from consumer smartphones for merely making emergency calls and then use it to “analyze the past and present behavior of their callers, react accordingly, and in time predict future patterns,” with the ultimate goal of smart devices making emergency calls to the authorities, as opposed to human beings.
Data obtained from these software products, already used by several U.S. counties and slated to be adopted nationwide as part of a new national “next generation” 911 system, will then be shared with the same law enforcement agencies who will soon be implementing Barr’s “national disruption and early engagement program” to target individuals flagged as potentially violent based on vague criteria.
Notably, following the El Paso shooting, President Trump has been mulling the creation of a new federal agency known as HARPA that would work with the Department of Justice to use “breakthrough technologies with high specificity and sensitivity for early diagnosis of neuropsychiatric violence,” specifically “advanced analytical tools based on artificial intelligence and machine learning.” The data to be analyzed would be harvested from consumer electronic devices as well as information provided by health-care providers to identify who may be a threat.
It is important to point out that such initiatives, whether HARPA or Barr’s newly announced program, are likely to define “mental illness” to include some political beliefs, given that the FBI recently stated in an internal memo that “conspiracy theories” were motivating some domestic terror threats and a series of questionable academic studies have sought to link “conspiracy theorists” to mental illnesses. Thus, the Department of Justice and “mental health professionals” have essentially already defined those who express disbelief in official government narratives as both a terror threat and mentally ill — and thus worthy of special attention from pre-crime programs.
Sleepwalking into a nightmare
This widely overlooked background is crucial to understanding William Barr’s recent memorandum and the massive and greatly underreported shift in the policy it heralds. Over a period of several months, Barr — aided by “private sector partners” as well as other current and former government officials — has been laying the groundwork for the system he has now formally announced.
Through the software products offered by companies like Carbyne911 and through Barr’s personal crusade to mandate government backdoors into encrypted software and products, Barr’s new pre-crime program already has the tools for the mass extraction and storage of consumer data by means of both private tech companies and public services like emergency call centers.
Through the already drafted plan for HARPA and its proposed solution to identifying “mental illness” via artificial intelligence and machine learning, this newly announced “pre-crime” program will have the means to analyze the mass of data harvested from consumer electronic devices from Carbyne and other means using vague “mental health criteria.”
While many of the specifics of the program remain unknown, the actions of Barr and others in government and private sectors show that this newly announced initiative is the product of years of careful planning and many of the tactics and tools it is poised to use have been in the works for months and even years.
In recent decades, and especially after the September 11 attacks, Americans have quietly traded an increasing number of civil liberties for increased government “counter-terrorism” programs and wars purportedly waged to “keep us safe.” Now, those same policies used to target “terrorists” are set to be used against ordinary Americans, whose electronic lives and communications are now set to be scoured for evidence of “mental illness.” If these untransparent algorithms flag an individual, that could be enough lead to court-ordered “mental health treatment” or even imprisonment regardless of whether or not a crime was committed or even planned.
As a consequence, William Barr’s coming “pre-crime” program is arguably worse than the stuff of dystopian science fiction novels and films as it not only aims to detain Americans who have committed no crime but will expressly target individuals based on their use of electronic consumer products and the contents of their communications with their friends, family, co-workers, and others.

The C.D.C. surprised health experts, political leaders and others yesterday when it announced that vaccinated people could go maskless in most places, including indoors. The agency’s advice doesn’t override local and state rules, though at least seven states adopted its mask guidelines. Others, like New York, said they would study the new guidance before deciding whether to adopt it. That puts businesses in a tricky spot. Companies with frontline workers aren’t sure what to do. Retailers like Macy’s and the Gap said they were reviewing the new guidance, while Home Depot said it had no plans to change its rules requiring customers and workers to wear masks in its stores. Airlines and other transportation companies didn’t need to react, because federal guidelines still require masks for their industry. Unions are unhappy about it. “Millions of Americans are doing the right thing and getting vaccinated, but essential workers are still forced to play mask police for shoppers who are unvaccinated and refuse to follow local Covid safety measures,” the president of the United Food and Commercial Workers International Union, Marc Perrone, said in a statement. “Are they now supposed to become the vaccination police?” H.R. departments have yet another headache. Companies coming up with protocols for a return to the office haven’t prepared for the C.D.C.’s sharp turnabout, Douglas Brayley, an employment lawyer at Ropes & Gray, told DealBook. Companies need to abide by local guidelines, but the change in federal guidance raises questions. How do large companies establish a common policy when local public health agencies may not agree? How to handle employees who are still uncertain about safety when protocols shift? How will companies find out whether employees are vaccinated, and thus determine if they need to wear a mask? And what about the Yankees? Eight fully vaccinated members of the baseball team tested positive for the virus. Some may interpret it as a lesson for businesses when workplaces loosen their protocols for things like masking, even if a majority of employees are vaccinated. “For a little bit there, we were getting pretty comfortable, because that’s what the rules called for. Now, we’ll tighten it back up and hopefully everyone stays safe,” the Yankees pitcher Jameson Taillon told The Times. Others argue that the Yankees’ frequent testing makes asymptomatic cases more likely to be caught, and given that only one of the eight has shown symptoms, it’s a sign that the vaccines are effective. The payment, made in Bitcoin, came shortly after the company shut down its network — and, as a result, the pipeline that supplies almost half of the East Coast’s fuel — in response to a ransomware attack. In other hacking news, Ireland’s health system operator shut down today because of a ransomware attack, and a unit of Toshiba said that it had been targeted by DarkSide, the group blamed for the Colonial infiltration. McDonald’s is raising its wages, sort of. After moves by other fast-food chains, the company will increase pay at its 650 company-owned restaurants to an average of $13 per hour. But about 95 percent of McDonald’s restaurants in the U.S. are independently owned and will not be affected by the move. A major teachers’ union called for schools to reopen. Randi Weingarten, president of the American Federation of Teachers, which has 1.7 million members, said of the next academic year, “There is no doubt: Schools must be open. In person. Five days a week.” Teachers’ unions have sought strict virus mitigation measures that some say have slowed reopening timelines. Delta will require new hires to be vaccinated, making it one of the first major corporations to enact such a provision. The airline’s C.E.O., Ed Bastian, told CNN that the requirement wouldn’t extend to current employees, but he said that he expected up to 80 percent to get shots. DoorDash tripled its revenue in the first quarter. Demand for food delivery does not seem to be dropping as restaurants reopen dining rooms. “The negative impact that we were expecting in consumer behavior was smaller than we were anticipating,” the company’s C.F.O., Prabir Adarkar, told The Wall Street Journal. Crypto’s first earnings call The crypto exchange Coinbase yesterday held its first earnings call since going public. Its bumper profit for the first quarter largely matched expectations set in its filings ahead of its I.P.O. last month, so the numbers didn’t raise many pressing questions from investors, who were able to submit queries online and vote for their favorites to put to management. “When will users be able to trade Doge?” Of more than 100 shareholder questions, one about Dogecoin, the high-flying crypto token based on a meme, was, inevitably, the most popular and so it was asked first. “We plan to list Doge in six to eight weeks,” said Coinbase’s C.E.O., Brian Armstrong, noting that the company was looking to expand its assets and aimed to list new products faster. Coinbase says it won’t be too hasty. Armstrong noted that “certain products” that the exchange’s competitors allow users to trade make Coinbase “uncomfortable,” whereas “from the earliest days,” the company embraced regulation. Indeed, Coinbase representatives just met with regulators in Washington, Armstrong said, providing no specifics. The company’s C.F.O., Alesia Haas, said that Coinbase was “bullish on the global market” and eager to expand internationally but that it needed licenses and bank partnerships, which take time. Armstrong loves an internet reference. The company’s co-founder referred to this period in the crypto industry as similar to the internet’s infancy at least three times and at one point likened Coinbase to Google. In the papers Some of the academic research that caught our eye this week, summarized in one sentence: ‘To our clients’ — Marty Lipton’s letters Martin Lipton is one of the most consequential figures in modern corporate finance. Throughout the 89-year-old’s career as a high-powered M.&A. lawyer, he has chronicled the ups and downs of deal making in thoughtful and widely followed notes to clients, known as “Marty Memos.” The notes, which span poison pills, shareholder primacy and the purpose of companies, are now available in a digital archive. The back story: Leo Strine, former chief justice of the Delaware Supreme Court and now at Wachtell, Lipton, Rosen & Katz, helped create the archive. “It has taken several years to do the coding of the memos, to draft a narrative that situates ML’s work in historical context, and that also, critically, provides links to the key cases, regulatory developments and scholars and advocates involved in the policy debates in which ML participated,” Strine said in an email. He worked on it with teams at Wachtell and Penn Law, where he teaches. An in-depth essay that serves as a guide to the archive, “Lipton and His Impact,” is the place to start. Here are two of our favorite letters. One comes from the 1980s takeover era, when junk bonds drove Wall Street and the poison pill was invented by Lipton in response, and the other from more recently, 2018, in which Lipton frames his early thinking on anti-takeover measures in the context of focusing on all stakeholders, not just shareholders: “Our Nation is blindly rushing to the precipice.” In his Oct. 28, 1988, memo, “Is This the End of Takeovers,” Lipton warned that “abusive takeover tactics” were saddling American companies with too much debt and forcing them to focus on short-term market results. “As with tulip bulbs, South Sea bubbles, pyramid investment trusts, Florida land, REITs, LDC loans, Texas banks and all the other financial market frenzies of the past, the denouement will be a crash,” he wrote, urging rules to rein in investors who “show no restraint and no regard for the public good.” “It promotes inequality and strikes at the very heart of our society.” In his April 10, 2018, memo, “The Purpose of the Corporation,” Lipton took aim at Milton Friedman’s mantra that companies should serve shareholders above all, which he said led to the damaging short-termism that he had fought against in takeover battles throughout his career. Noting “important new support for counterbalancing shareholder primacy and promoting long-term sustainable investment” at firms like BlackRock (and later the Business Roundtable, among others) he lent his voice to a burgeoning movement.
